John-Paul Motley

Board of Directors

John-Paul Motley is partner in charge of Cooley LLP’s Los Angeles office and a key member of the firm’s public companies group. He has more than 20 years of experience advising public and private companies, along with their boards of directors, on transactional, regulatory, and corporate governance matters. His practice focuses on capital markets transactions, including IPOs, secondary offerings, and high-yield, convertible, and investment-grade debt issuances. Mr. Motley also counsels clients on Securities and Exchange Commission (SEC) reporting, disclosure issues, and compliance matters, frequently serving as outside corporate counsel.

Before joining Cooley in 2022, Mr. Motley was a partner at O’Melveny & Myers, where he chaired the firm’s capital markets practice and served as managing partner of its Los Angeles office. His clients span a wide range of industries, including financial services, technology, retail, engineering, automotive, entertainment, and healthcare.

Mr. Motley has been recognized by Chambers USA since 2015 for his Capital Markets: Debt & Equity practice and is also acknowledged by The Legal 500 US and the International Financial Law Review for his expertise in capital markets transactions and corporate governance.

Beyond his legal practice, Mr. Motley is dedicated to education and public service. In addition to serving on the Phoenix House California board, he is president of the board of advisors for Vanderbilt University Law School. His financial acumen, regulatory expertise, and governance leadership will support PHC’s efforts to expand funding sources, strengthen operational sustainability, and drive long-term.

Mr. Motley earned his juris doctor (Order of the Coif) and master’s in business administration (Beta Gamma Sigma) from Vanderbilt University in 1999 and holds a bachelor’s in business administration (summa cum laude) from the University of Memphis.
